TERMS OF SERVICE - WEBSITE

This Terms of Service govern your use of this website and the purchase of goods. Your use of this site or purchase from VITA-SOL indicates your understanding and acceptance of these terms and conditions to which you agree to be bound by. If you are uncertain about any of the terms of the Agreement, please contact VITA-SOL (admin@vita-sol.com) before the completion of any purchase. We reserve the right to modify these terms of service at any time without prior notice to you.

If you use or access the website, you agree to indemnify and hold VITA-SOL Pty Ltd., its related bodies corporate, as well as the officers, agents, partners, and employees of each of these, harmless from any loss, liability, claim, or demand.

AGREEMENT OF SALE

Sales of VITA-SOL goods from this website as well as VITA-SOL social media sites, such as Facebook, Instagram and Twitter are subject to these terms of service. All sales of the VITA-SOL goods (including but not limited to, VITA-SOL Ingestible Skin Support, Teas, Books and Promotional Material) by VITA-SOL Pty Ltd, shall be subject to the following terms and conditions. By its execution of this Order, the Purchasers shall be deemed to have accepted such terms and conditions.

Errors in quotations, catalogues, order confirmations, invoices, etc., including errors in calculations, typing and clerical errors shall not be binding upon VITA-SOL Pty Ltd and shall not entitle the Purchaser to claim for damages. VITA-SOL Pty Ltd explicitly reserves the right to modify the design of its goods and make other minor technical alterations prior to delivery.

Authorised Stockist purchase of products from this site are also subject to specific Stockist Terms & Conditions agreed to upon becoming an authorised VITA-SOL stockists. For a copy of the Stockist Terms & Conditions, please the VITA-SOL Professional Centre.

The laws of the Commonwealth of Australia and, where applicable, the state of New South Wales apply to all purchases. By making a purchase from this website, you agree to submit to the jurisdiction of the courts in Australia, New South Wales, and Australia, and that any legal action will only be brought in these forums.

PRICES AND TERMS OF PAYMENT

The prices for goods are the prices represented on the respective tax invoice issued by VITA-SOL to the Purchaser verifying the quantity sold and amount to be paid by the Purchaser, plus any additional charges for freight and delivery where applicable. All prices quoted to the Purchaser in relation to any proposed order from the Purchaser are indicative only and not binding, unless confirmed in writing by VITA-SOL under the applicable tax invoice.

The Purchaser shall be responsible for all sales or GST type taxes which have been included in the prices quoted where indicated. If such taxes are not included in the prices quoted, the Purchaser acknowledges that it shall nevertheless remain responsible for the same.

Accepted payments include credit cards (Visa, Mastercard, American Express) and PayPal. When paying by credit card, the purchaser warrants that they have the necessary rights to use the credit card and are fully authorised to use it to pay for the order.

VITA-SOL currently use Shopify Payments and/or PayPal to ensure that your information is kept safe when you pay by credit card.

If payments are not made in accordance with the agreed terms, goods will not be released.

PERSONAL INFORMATION

Any personal information, including personal financial information, that is collected, used or disclosed by VITA-SOL for the purposes of the sale or supply of Goods to the Buyer is treated as confidential and will only be collected, used or disclosed in the following manner:

  1. for the purposes of meeting VITA-SOL’s obligations under these terms;
  2. to respond to any queries that the buyer may have
  3. to recover any Goods or money owing to VITA-SOL;
  4. in accordance with the Privacy policy of VITA-SOL; or
  5. in compliance with the requirements of the Privacy Act 1988 (Cth)

If VITA-SOL Pty Ltd receives a legal order or request to reveal the identity or other information of a person who has posted content that is in violation of any law, VITA-SOL Pty Ltd will fully cooperate with the authorities in any jurisdiction.

You may be granted permission by VITA-SOL to create, share, publish, post, store, or upload data, text, video, still images, audio, or other material (“Contributions") on the website or social media. VITA-SOL disclaims any and all liability in connection with Contributions, and you accept full responsibility for all Contributions you make to the Website. VITA-SOL does not endorse the information in any Contributions and does not assume responsibility for monitoring any Contributions. Your Contribution will not be treated as confidential by VITA-SOL.

DELIVERY PERIODS AND DATES

All delivery periods and dates are approximate only and shall impose no obligation or liability upon VITA-SOL although VITA-SOL will do the utmost to meet such dates.

The Purchaser shall at no time be entitled to claim for damages for any delay in delivery.

FORCE MAJEURE AND OTHER HINDRANCES

Any delay resulting from Acts of God or any other circumstances beyond the control of VITA-SOL Pty Ltd shall entitle VITA-SOL Pty Ltd to extend the delivery periods and dates by a period equivalent to the delay, plus a reasonable further time, or alternatively entitle VITA-SOL Pty Ltd to rescind any or all unperformed parts of this agreement. Strikes, lock-outs and other circumstances substantially impending or precluding delivery shall also be regarded as an Act of God, regardless of whether such circumstances affect VITA-SOL Pty Ltd directly or any of its suppliers.

WARRANTY AND LIMITATION OF LIABILITY

VITA-SOL Pty Ltd warrants that the goods supplied are of merchantable quality but, to the extent permissible by law, VITA-SOL Pty Ltd otherwise excludes all conditions and warranties implied by statute, general law or custom.

To the extent permitted by law, VITA-SOL Pty Ltd liability shall be governed exclusively by the foregoing stipulations. All of the Purchaser’s rights not explicitly stated herein including rights for damages – irrespective of all legal foundation – are fully excluded. Subject only to any express exceptions contained in these conditions, VITA-SOL Pty Ltd shall under no circumstances be liable in any way whatsoever to the Purchaser for any form of loss, damage or expense sustained or incurred by the Purchaser or any other party in consequence of or resulting directly or indirectly out of the supply of goods or services by VITA-SOL Pty Ltd, any breach by VITA-SOL Pty Ltd of any agreements or the negligence of VITA-SOL Pty Ltd.

To the extent permitted by law, the Purchaser agrees that VITA-SOL Pty Ltd’s liability for any defective or damaged goods, consequential loss or damage suffered by the Purchaser or liability for breach of any express term of these terms, or liability for breach of any statutory condition, is limited to the replacement of the relevant goods or crediting the Purchaser with an amount equal to the invoice price.
